REFERRAL PROGRAM TERM AND CONDITIONS:

In accordance with the terms and conditions of the Agreement and subject to further conditions stated herein, the Referral Program will pay referral incentives (“Referral Incentive”) when prospective businesses that you refer to Give A Second LLC purchase an online advertising listing package on giveasecond.com in accordance with and through the methods authorized by these Terms and Conditions. If you choose to refer a business through the Referral Program, you may earn a Referral Incentive on each listing Package purchased, for up to six, by a referred business for a three month period. the three months shall commence from the date you submit a businesses name to give a second and you have received written confirmation that the business name has been received and submitted into the referral program. 

How It Works:

Individuals who refer can submit up to 15 business names and the referral incentive program will pay referral fees for up to 6 business who complete a purchase in a three month period.  

The referral fee amount is $50 each for businesses referred that purchase and pay for a listing package on giveasecond.com. Listing packages are discounted to a $299 payment at this time which covers a whole year.*  

The more business who purchase, the more the referrer can receive up to $300 in a calendar year.

The program is for a limited time.

Referral Submission; Eligibility - Each referral must be submitted through the process specified by Give A Second LLC (for example by email or form) with the prospect’s name, domain, if applicable plus the referrer’s contact details. A referral is “Eligible” only if, at submission, the prospect is not an existing customer, active opportunity, or target of ongoing negotiations documented in Give A Second LLC's records within the prior [90] days and is not already referred by another person and also consents to the introduction. Attribution of a referral is first-in-time based on receipt by Give A Second LLC. Give A Second LLC's records will govern any conflict. And no referral fee is due where prohibited law.

Eligibility: To be eligible for participation in the referral program, both the referrer and the referred must be at least 18 years of age. Give A Second LLC reserves the right to find ineligible any participant in the program at its sole discretion.

Binding Effects. By participating in the Program, you agree to and are bound by the Program Terms and Conditions. If you do not wish TO agree to and abide by the Program Terms and Conditions in their entirety, you are not authorized to participate in the Program.

Confidentiality - Data Protection: Information about prospects, customers, pricing, and non-public product information is company confidential information and will be used only to make referrals. Each party will comply with applicable data protection laws and execute any required data processing terms where personal data is processed.

Release: By participating in the Referral Program, Participants release Give A Second LLC and it's respective directors, members, officers, employees, and agents from any and all liability for any loss, harm, damages, cost, or expense, including, without limitation, property damages, personal injury 0f any kind, arising out of or in any way connected to the Referral Program and/or the use of any Program Rewards.

Limitation; Entire Remedy for Referrals: Referral Fees are Referrer’s sole compensation for referrals. give a second llc may accept or reject any prospect at its discretion and may change product, referral incentive amount, pricing, or eligibility criteria at any time.

Indemnification: Participants agree to indemnify, defend, and hold Give A Second LLC. and its representatives and agents harmless from and against any and all third party claims, demands, liabilities, costs, or expenses, including attorney’s fees and costs, arising from, or related to any breach by the participant of any of these Program Terms and Conditions or any violation by Participant of Applicable law.

Dispute Resolution: Governing Law - Disputes relating to Referral Fees will attempt to resolved within thirty days before either party may commence litigation or arbitration. This Agreement is governed by the laws of State of Maryland, USA excluding conflict-of-laws rules.

Disclaimer:  Give A Second LLC. reserves the right to cancel or suspend the Program should it determine, in its sole discretion, that the administration, security, or fairness of the Program has been compromised in any way. Disclaimer of Warranties: PARTICIPANTS AND PROSPECTIVE PARTICIPANTS EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE PROGRAM IS AT YOUR SOLE RISK, THE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE". BASIS AND GIVE A SECOND LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS (COLLECTIVELY, "PROMISES") OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, PROMISES AS TO PRODUCTS OR SERVICES OFFERED THROUGH THE USE OF THE PROGRAM, IMPLIED PROMISES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; GIVE A SECOND LLC MAKES AND GIVES NO PROMISE THAT THE PROGRAM WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, AND THAT THE RESULTS OBTAINED FROM THE USE OF THE PROGRAM WILL BE ACCURATE OR RELIABLE, OR THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK.

General Terms. These Program Terms and Conditions constitute the entire agreement between Participants and Give A Second LLC. concerning Participants’ use of the Program. The failure of Give A Second LLC to exercise or enforce any right or provision of these program Terms and Conditions shall not constitute a waiver of such right or provision. The terms and conditions applicable to Participants’ use of Give A Second LLC's services can be found at: https://giveasecond.com.

Term: The term of this Agreement will begin upon give a second llc’S acceptance of your referred business name list by email confirmation and will end when terminated by either or after three months, whichever comes first. Give A Second llc is not responsible for the actions of the referred business or if they respond.

Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination. Notice by email, to your email address on record, is considered sufficient notice to terminate this Agreement.

YOU AGREE THAT GIVE A SECOND LLC CAN DISCLOSE YOUR NAME AS THE PERSON WHO HAS REFERRED A BUSINESSES FROM YOUR LIST TO THE GIVE SECOND REFERRAL PROGRAM.
